Terms and conditions

• “Platform”: the website, membership management system, company dashboard, and all digital services operated under the ccicv.net domain.
• “Member”: any legal entity or individual registered on the Platform, at any membership tier (Enthusiast, Entrepreneur, Commercial, Enterprise).
• “Certificate” or “Verification Badge”: the document and/or digital visual element issued by the Chamber indicating that a company completed a given document-review process.
• “Content”: any information, document, image, text, or data a Member uploads, publishes, or transmits through the Platform.

2.1The Member represents and warrants that all information and documentation provided to the Chamber — including but not limited to identity data, corporate registrations, tax information, and financial statements — is truthful, accurate, complete, and current.

2.2The Member is solely responsible for keeping their information up to date. Beyond the document review described in Section 3, the Chamber has no obligation to independently verify the accuracy of what is declared.

2.3Providing false, incomplete, or misleading information constitutes immediate grounds for rejection, suspension, or revocation of membership and the Certificate, without prejudice to any applicable legal action.

3.1The Chamber's verification process (“KYC”) consists of reviewing the documents provided by the Member against the criteria in effect for their membership tier and jurisdiction.

3.2THE CERTIFICATE OR VERIFICATION BADGE ISSUED BY THE CHAMBER IS SOLELY A RECORD THAT, AS OF ITS ISSUANCE DATE, THE MEMBER SUBMITTED CERTAIN DOCUMENTATION THAT WAS REVIEWED UNDER THE CHAMBER'S INTERNAL CRITERIA. THE CERTIFICATE DOES NOT CONSTITUTE, AND MUST NOT BE INTERPRETED AS:

• a guarantee, endorsement, backing, or recommendation of the Member's financial solvency, honesty, operational capacity, or business practices;
• a certification of the Member's legal, tax, labor, or regulatory compliance before any authority;
• an assumption of direct or indirect liability by the Chamber toward third parties who contract, negotiate, or otherwise engage in any business relationship with the Member.

3.3Any third party who consults or relies on a Certificate does so at their own risk and judgment. The Chamber recommends that any third party conduct their own due diligence before entering into any business transaction with a Member.

3.4The Chamber reserves the right to modify, at any time and without prior justification, the verification criteria, document requirements, and procedures.

4.1The Member agrees to use the Platform solely for lawful purposes related to promoting bilateral trade between China and Venezuela and the Chamber's institutional objectives.

4.2Use of the embeddable verification badge or snippet on third-party sites is conditioned on the Member's membership being active. If membership is suspended, rejected, revoked, or expires, the Member must immediately remove any badge, certificate, or verification reference from their materials, websites, or advertising. Continued use of the badge after revocation constitutes trademark misuse and may result in legal action.

4.3The following are prohibited:

• impersonating another person or company;
• attempting unauthorized access to accounts, documents, or data of other Members;
• using the Platform for fraudulent activity, money laundering, illicit financing, or any activity prohibited under applicable Venezuelan or Chinese law;
• reverse engineering, automated scraping, or any attempt to compromise the Platform's security.

5.1Access to the Entrepreneur, Commercial, and Enterprise membership tiers requires payment of the corresponding fee, per the pricing table published on the Platform, which the Chamber may modify going forward without affecting already-paid periods.

5.2Membership payments are, except where required by law or expressly decided otherwise by the Chamber, NON-REFUNDABLE, including in cases where membership is later suspended or revoked due to the Member's breach of these Terms.

5.3The Chamber may process payments through various means and providers (crypto-asset transfers, card payment gateways, or others enabled in the future). The Chamber is not responsible for failures, delays, fees, or unavailability attributable to such external providers (see Section 10).

5.4The Member is responsible for any tax, duty, or levy applicable to their membership or business activity, unless the law provides otherwise.

6.1The Chamber reserves the right, at its sole discretion, to reject a membership application, suspend an active membership, or revoke an issued Certificate, at any time and without needing to state detailed cause, whenever there is reasonable indication of: breach of these Terms, reputational risk to the Chamber, false information, unlawful activity, or any other circumstance the Chamber deems relevant to protecting its institutional purposes.

6.2Revocation of a Certificate automatically invalidates any badge, credential, or document derived from it.

6.3The Member has no right to a refund, indemnification, or any compensation for suspension or revocation of their membership when caused by their own breach.

7.1The name “China Venezuela Chamber of Commerce and Industry”, its logo, the Certificate design, verification badges, and other brand elements are the Chamber's exclusive property.

7.2The Member is granted a limited, non-exclusive, revocable, and non-transferable license to display their Certificate or badge only while their membership is active and solely to evidence such membership. Any other use requires the Chamber's prior written authorization.

7.3The Member retains ownership of the Content they upload to the Platform, but grants the Chamber a license to store, process, and use it to the extent necessary to provide the Platform's services, including displaying it in the member directory where applicable.

8.1The Member consents to the processing of personal data and documents provided for the purposes of KYC verification, membership management, certificate issuance, and institutional communication.

8.2The Chamber implements reasonable security measures to safeguard uploaded documentation, but does not guarantee the absolute absence of security incidents beyond its reasonable control.

9.1THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF CONTINUOUS AVAILABILITY, ERROR-FREE OPERATION, OR FITNESS FOR A PARTICULAR PURPOSE.

9.2TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE CHAMBER, ITS OFFICERS, EMPLOYEES, AND COLLABORATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, NOR FOR LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR REPUTATIONAL DAMAGE, ARISING FROM THE USE OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3IN ANY CASE, THE CHAMBER'S TOTAL AGGREGATE LIABILITY TO A MEMBER FOR ANY CLAIM RELATED TO THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY SUCH MEMBER TO THE CHAMBER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9.4Nothing in this clause is intended to exclude liability that cannot be validly excluded or limited under applicable Venezuelan law.

The Member agrees to indemnify, defend, and hold harmless the Chamber, its officers, secretaries, and collaborators against any claim, demand, loss, damage, or expense (including reasonable legal fees) arising from: (a) the Member's breach of these Terms; (b) inaccuracy or falsity of the information provided; (c) misuse of their Certificate or verification badge; or (d) infringement of third-party rights.

The Platform may integrate or rely on services operated by third parties (payment processors such as Binance or Stripe, email providers, cloud hosting, among others). The Chamber does not control or guarantee the uninterrupted operation of such services and shall not be liable for failures, delays, loss of funds in transit, or any harm arising from the actions of such third parties, without prejudice to making reasonable efforts to resolve issues within its reach.

12.1The Chamber may modify these Terms at any time. Material changes will be notified by updating the version visible on this page and, when the Chamber deems appropriate, by direct notice to the Member.

12.2Continued use of the Platform after a new version takes effect constitutes acceptance of the modified Terms.

13.1The Member may request cancellation of their membership at any time, without this generating any right to a refund of amounts already paid.

13.2The Chamber may terminate a Member's access to the Platform immediately and without prior notice in the event of a serious breach of these Terms.

These Terms are governed by the laws of the Bolivarian Republic of Venezuela. Any dispute arising from the interpretation or execution of these Terms shall be submitted to the competent courts of the city of Caracas, Venezuela, with the Member expressly waiving any other venue that might otherwise apply.

The Chamber shall not be liable for failures arising from force majeure or fortuitous events, including but not limited to: power or internet infrastructure failures, government acts, natural disasters, pandemics, social unrest, or any event beyond its reasonable control.

If any provision of these Terms is declared invalid or unenforceable by a competent authority, the remaining provisions shall continue in full force and effect. These Terms constitute the entire agreement between the Member and the Chamber regarding use of the Platform.

These Terms are available in Spanish, English, and Mandarin Chinese solely for Members' convenience. In the event of any discrepancy, ambiguity, or conflict between versions, THE SPANISH VERSION SHALL PREVAIL IN ALL CASES.
